1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and M1 Agency ("we," "us," or "our"), concerning your access to and use of our services. By engaging with M1 Agency, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.

2. Services

M1 Agency provides strategic marketing, design, and development services. The specific deliverables, timelines, and costs will be outlined in a separate Statement of Work (SOW) or Proposal provided to you. We reserve the right to refuse service to anyone for any reason at any time.

3. Intellectual Property Rights

Unless otherwise indicated, the Site and our services are our proprietary property. Upon full payment of all fees associated with a project, we grant you a perpetual, non-exclusive license to use the final deliverables for their intended purpose. M1 Agency retains the right to use the work for portfolio and marketing purposes unless a Non-Disclosure Agreement (NDA) states otherwise.

4. Client Responsibilities

You agree to provide us with everything that we need to complete the project, including text, images, and other information, as and when we need it, and in the format, we ask for. You agree to review our work, provide feedback, and sign-off approval in a timely manner.

5. Payment Terms

Payment terms are defined in your specific Proposal or Invoice. Generally, a deposit is required to commence work. Failure to adhere to payment schedules may result in a pause of services or delay in final delivery.

6. Limitation of Liability

In no event will we be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our services.
